ARTICLEIII

The time for the commencement of this corporation shall be immediately and the

period of its duration shall be perpetual.

ARTICLEIV

The names and places of residence of the persons forming this corporation are:

Pastor William D. Nichols, 925 York, Elk River, Minnesota 55330

Mr. John Serdahl, Rural Route 3, Elk River, Minnesota 55330

Mr. Patrick Bolin, Rural Route 3, Elk River, Minnesota 55330

ARTICLEV

Any person who is living a consistent Christian life and who is in harmony with

the Doctrine of the church, and will financially support according to his ability, may

become an active member, by approval of the Church Board, which shall act according

to the provisions of the By-Laws, in approving applicants for membership.

ARTICLEVI

The first board of Directors of Elk River Assembly of God Church shall consist of

the following persons:

Pastor William D. Nichols, 925 York, Elk River, Minnesota 55330 - One year

Mr. John Serdahl, Rural Route 3, Elk River, Minnesota 55330 - One year

Mr. Patrick Bolin, Rural Route 3, Elk River, Minnesota 55330- One year

ARTICLEVII

1. The management of this corporation shall be vested, as outlined in its By-Laws,
   
   in an Official Board of not less than three and not more than nine members, including the
   
   Pastor. Their term of office shall be for three years and until their successors are duly
   
   elected and qualified, and so arranged that one-third of terms expire each year.
