ARTICLEVII CON'T

2. The officers of this corporation shall be a President, a Secretary and a
   
   Treasurer, who shall, by virtue of office, be members of the official Board. Their terms of
   
   office shall be for three years. Other officers may be elected when necessary.

3. The present elected President of this corporation is Pastor William D. Nichols.
   
   The present duly elected Secretary of this corporation is Patrick Bolin. The present duly
   
   elected Treasurer of this corporation is John Serdahl. The duly elected members of the
   
   Official Board are John Serdahl, Patrick Bolin and Norman Lindsey.

All the above mentioned officers and Board Members shall hold their respective

offices until the next annual meeting of the corporation. The annual meeting of this

corporation shall be held in February of each year. Election of all officers shall take

place at said annual meeting.

4. The Official Board and other officers of this corporation shall have such
   
   powers and perform such duties as this corporation in and by its By-Laws regulations of
   
   orders may prescribe.

ARTICLEVIII

There shall be no capital stock issued in this corporation, and this corporation is

not organized for profit, nor shall any person or member derive any benefit whatsoever,

nor shall any pecuniary profit or benefit inure to the members of this corporation. No

member shall be liable for any debts, liabilities or obligations of the corporation.

ARTICLEIX

The Bible shall be the rule and guide of faith, especially the Fundamental Truths

as set forth in the Declaration of Faith of the General Council of the Assemblies of God,

of which we are a member, and whose Declaration of Faith we hereby adopt.

ARTICLEX

This corporation shall be a member of the Minnesota District Council of the

Assemblies of God, with headquarters in Minneapolis, and of the General Council of the

Assemblies of God with headquarters in Springfield, Missouri.
